Terms of Service. The terms for using Rosanne.

Rosanne AI (“Rosanne”, “we”, “us”) is a company established in the Republic of Ghana. In these terms, the “Services” means rosanne.ai, the ROS and Agentic OS apps on every platform where they are offered, and our related emails, events and support.

Our Privacy Notice explains how we handle personal information and forms part of these terms. Some features may come with extra terms, which we will show you before you use them. If they conflict with these terms, the extra terms apply to that feature.

You must be at least 13 years old to use the Services. If you are under 18, or under the age of majority where you live, you may use them only with the permission of a parent or guardian, who agrees to these terms on your behalf.

If you use the Services for an organisation, you confirm that you are authorised to accept these terms for it, and “you” includes that organisation. You may not use the Services if the law prohibits you from doing so.

• Give us accurate information when you create your account and keep it up to date.
• Keep your sign-in details secure and do not share your account. You are responsible for what happens under it.
• Tell us straight away at hello@rosanne.ai if you think someone has used your account without permission.
• If your account is part of a workspace managed by an organisation, that organisation’s administrator may manage your access and the content in the workspace.

ROS is a web browser for Mac and iPhone, built on WebKit, that blocks ads and trackers and keeps your history on your device; Rosanne’s agents, which will browse, compare and complete tasks for you, are coming to it. The Rosanne Agentic OS is an agentic operating system in which AI agents work alongside you with clear roles; you can type to them or talk to them with its built-in Voice AI, they can make and answer phone calls for you through your own number, and automation carries out routine steps. ROS and the Agentic OS are available on macOS and iOS. Windows and Android are coming soon.

The Services are free today. We may add, change or remove features over time, and some features may be offered as previews that are still being tested. Previews may change or stop, and may be less reliable than other features.

We work to keep the Services available and secure, but we do not promise that they will always be available, uninterrupted or free of errors.

Agents act on your instructions. You decide what to ask, which permissions to give, and whether to approve the important steps an agent proposes.

• You approve what matters. Before an agent submits a form, sends a message or takes another important action, it asks you first. When you approve a step, you authorise that action and are responsible for it, as if you had taken it yourself.
• Review before you approve. Check what an agent is about to do, especially where money, legal commitments, personal information or other people are involved.
• We are not a party to your dealings. When an agent acts for you on a third-party website or service, any agreement, purchase or message is between you and that third party.
• Set sensible limits. In the Agentic OS you control what each agent may do. Give agents only the access a task needs.
• Calls. When an agent makes or answers a call for you, it says that it is an AI speaking on your behalf, and you may not remove or hide that disclosure. You are responsible for the calls you ask agents to make or answer, for anything you authorise an agent to agree to on a call, and for getting any consent the law requires before you choose to record a call.

The Services use artificial intelligence, which can produce output that is inaccurate, incomplete, out of date or unsuitable for your purpose, even when it sounds confident. Research comes back with sources so that you can check it, and you should. Speech recognition can also mishear, so check the plan an agent makes from a spoken request before you approve its important steps.

Output is not professional advice. Do not rely on it as the sole basis for medical, legal, financial, safety-critical or other important decisions. Do not use the Services in emergencies, or where an error could cause death, injury or serious harm. Agents are not a way to contact emergency services: in an emergency, call them yourself.

You keep ownership of the instructions, files and other content you provide, and of the output created for you, to the extent the law allows (“your content”).

You give Rosanne a worldwide, non-exclusive, royalty-free licence to host, store, copy, process and transmit your content only as needed to provide, secure and support the Services for you, including by sending it to our service providers such as AI model providers. This licence ends when your content is deleted from the Services, except for copies we must keep by law or that remain for a short time in backups.

You confirm that you have the rights needed to provide your content and to ask agents to use it, and that doing so does not break the law or anyone else’s rights. Output created for other users may be similar to yours, and is not your content.

Use the Services lawfully, respectfully and as intended. You must not use them, or direct an agent, to:

• break any law, or infringe anyone’s intellectual property, privacy or other rights;
• harass, threaten, defraud, impersonate or mislead anyone, or create spam;
• collect personal information about others without a lawful basis;
• record or process other people’s voices without the notice or consent the law requires;
• make unsolicited marketing calls, robocalls or spam calls, or use calls to harass, deceive or pressure anyone;
• have an agent pretend to be a human, or call from a number you are not authorised to use;
• access accounts, systems or data you are not authorised to access, or get around security or access controls;
• break the terms of a third-party website or service, including its rules on automated access, or overload it;
• create or spread malware, or interfere with the Services or anyone else’s use of them;
• copy, resell or misrepresent our content or the Services, or reverse engineer the apps except where the law allows it;
• develop a competing product using the Services or their output;
• create content that exploits or harms children, promotes violence or hatred, or is otherwise unlawful.

We may investigate suspected breaches and take action, including removing content and suspending access.

ROS lets you, and agents working for you, visit and interact with websites and services that Rosanne does not own or control. Your use of them is governed by their own terms and privacy notices, and you are responsible for following those terms.

We are not responsible for third-party content, products or services, or for their availability, accuracy or practices, and a link or result in the Services is not an endorsement.

The Services, including the apps, website, design, text, graphics and software, belong to Rosanne or our licensors and are protected by intellectual property laws. Rosanne, ROS, the Rosanne Agentic OS and their logos are our trademarks. These terms do not give you any right to use them, except as needed to use the Services.

If you send us ideas or feedback, we may use them without restriction or payment to you.

Subject to these terms, we give you a personal, non-exclusive, non-transferable, revocable licence to download, install and use our apps on devices you own or control, for as long as you are allowed to use the Services.

The apps may update automatically to add features, fix problems or improve security. Some features may not work until you install the latest version. You must comply with all export control and sanctions laws that apply to your use of the apps.

The Services are free today. If we introduce paid plans or features, we will show you the price and the terms that apply before you are charged, and we will not charge you for anything you have not agreed to buy. Purchases made through an app store are also subject to that store’s terms.

You can stop using the Services and close your account at any time.

We may suspend or end your access if you seriously or repeatedly break these terms, if the law requires it, or to protect the Services, other users or third parties. Where it is reasonable, we will tell you in advance and give you a chance to fix the problem or export your content.

We may also stop offering a Service. If we do, we will give you reasonable notice where we can. Sections that by their nature should survive termination, including 7, 10 and 14 to 21, continue to apply.

We provide the Services with reasonable skill and care. To the fullest extent the law allows, and apart from the commitments in these terms, the Services are provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.

Nothing in these terms limits rights you have as a consumer that cannot be limited by contract.

To the fullest extent the law allows, Rosanne will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising from or related to the Services or these terms.

To the fullest extent the law allows, our total liability for all claims relating to the Services or these terms is limited to the greater of the amount you paid us for the Services in the 12 months before the event giving rise to the claim, or one hundred US dollars (USD 100).

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be excluded or limited by law.

To the extent the law allows, you agree to defend and compensate Rosanne for claims, losses and costs, including reasonable legal fees, that arise from your content, from actions you approved an agent to take, or from your breach of these terms or of the law. This does not apply to the extent a claim is caused by our own breach or negligence.

If you downloaded an app from the Apple App Store, these additional terms apply:

• These terms are between you and Rosanne, not Apple. Rosanne, not Apple, is responsible for the app and its content.
• Your licence to use the app is limited to Apple-branded products you own or control, as allowed by the Usage Rules in the Apple Media Services Terms and Conditions.
• Apple has no obligation to provide maintenance or support for the app.
• If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund any purchase price you paid for it. To the extent the law allows, Apple has no other warranty obligation for the app.
• Rosanne, not Apple, is responsible for addressing any claims relating to the app, including product liability claims, claims that it fails to meet legal or regulatory requirements, and consumer protection claims.
• Rosanne, not Apple, is responsible for investigating and resolving any claim that the app or your use of it infringes a third party’s intellectual property rights.
• You confirm that you are not located in a country subject to a US Government embargo, and that you are not on any US Government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.

These terms are governed by the laws of the Republic of Ghana. If a dispute arises, please write to hello@rosanne.ai first. Most concerns can be settled quickly, and we will try in good faith to resolve yours within 30 days.

If we cannot, the courts of the Republic of Ghana will have jurisdiction. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live, and you may bring proceedings in its courts.

We may update these terms as the Services or the law change. We will change the date at the top when we do. If a change is significant, we will tell you in advance, by email or in the apps, before it takes effect. If you do not agree to the new terms, you can stop using the Services and close your account. If you keep using them after the change takes effect, the new terms apply.

• Entire agreement. These terms, with the Privacy Notice and any extra terms for specific features, are the whole agreement between you and Rosanne about the Services.
• Severability. If any part of these terms cannot be enforced, the rest remains in effect.
• No waiver. If we do not enforce a right straight away, we can still enforce it later.
• Assignment. You may not transfer your rights under these terms without our consent. We may transfer ours as part of a merger, acquisition or sale of assets, or to an affiliate.
• Events beyond control. Neither of us is responsible for delays or failures caused by events outside reasonable control.
• Notices. We may send you notices by email or in the apps. You can send notices to us by email.
• Language. These terms are written in English. If we provide a translation and it differs, the English version applies, unless the law says otherwise.
